1. Acceptance of Terms

Welcome to Teleia. These Terms of Service ("Terms") govern your access to and use of the Teleia learning management platform, including our website, mobile applications, and related services (collectively, the "Service"), operated by Teleia Ltd ("Teleia", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Teleia provides a learning management platform that enables educational institutions to deliver courses, manage students, and facilitate communication between instructors and learners. The Service includes features such as:

  • Course content delivery and management
  • Assignment submission and grading
  • Real-time messaging and communication
  • Live video sessions and recordings
  • Progress tracking and analytics
  • Resource library and file sharing

3. User Accounts

To access certain features of the Service, you must create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account

Course Content

Course materials, including videos, documents, and other educational content provided by instructors or institutions, remain the property of their respective owners. You may not reproduce, distribute, or create derivative works from course content without explicit permission.

Content Moderation

We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Teleia Ltd and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

8. Subscription and Payments

Access to the Service may be provided through your educational institution's subscription. Individual paid features or subscriptions, if offered, will be clearly identified with their associated fees and terms. All fees are non-refundable unless otherwise specified or required by law.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You may request deletion of your personal data
  • Provisions that should survive termination will remain in effect

You may delete your account at any time through the app settings or by contacting support.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We are not responsible for the content or accuracy of educational materials provided by instructors or institutions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TELEIA LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

Our total liability for all claims related to the Service shall not exceed the amount you paid us, if any, during the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Teleia Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
